Brazil’s HSI Investimentos Buys Two Malls from BR Malls (em português)

Brazilian shopping center developer and operator BR Malls has sold the malls Granja Vianna in São Paulo and Paralela in Salvador to private equity firm Hemisfério Sul Investimentos for an undisclosed amount.

(Brazil Journal) A BR Malls deve anunciar ainda antes do Natal a venda de dois shoppings para a HSI Investimentos, continuando a estratégia da empresa de renovar e encolher seu portfólio.

Originalmente a HSI — a gestora de private equity imobiliário de Máximo Lima — ia comprar três shoppings: Granja Vianna (em São Paulo), Paralela (em Salvador) e Ilha Plaza (no Rio).

Depois da ‘due diligence’, no entanto, o acordo caminhou para apenas dois shoppings, com o Ilha Plaza saindo do pacote.

No mercado, a Granja Vianna e o Paralela são avaliados em cerca de R$ 500 milhões.

Só este ano, a BR Malls já vendeu quatro participações em shoppings, totalizando R$ 454,5 milhões.

Na segunda-feira, a companhia vendeu seus 54,2% no Maceió Shopping por R$ 170 milhões. Ontem, vendeu sua fatia de 50% no Natal Shopping por R$166,3 milhões.

O ‘cap rate’ — um múltiplo usado para avaliar imóveis, igual à renda do ativo dividida pelo seu valor — foi de 8,7% em ambas as compras. (Quanto menor o cap rate, mais ‘caro’ o comprador pagou.)

Transações imobiliárias deste tipo são geralmente comparadas a um título do Tesouro de longo prazo corrigido pela inflação, como a NTN-B com vencimento em 2024, que hoje rende inflação mais 5%.

A compra do Granja Vianna e do Paralela faz parte da estratégia da HSI de fortalecer a Saphyr, sua empresa administradora de shopping centers que sofreu nos últimos anos com algumas apostas que não se pagaram. A Saphyr administra 11 shoppings, incluindo aquisições da HSI como o Metrô Tucuruvi (comprado da JHSF por R$ 440 milhões) e o São Conrado Fashion Mall (comprado da própria BR Malls).

Com essas novas aquisições, a HSI já investiu mais de R$ 1 bilhão de seu Fundo V, que levantou US$ 750 milhões em 2016 junto a fundos de pensão e endowments internacionais.
