Kinea Buys Stake in Eliane (em português)

(Fusões & Aquisições) Kinea, private equity manager of Itaú, has just invested R$150m in tile manufacturer Eliane SA-Revestimentos Ceramicos and now holds a minority stake in the company.

No mercado, estima-se que a participação seja entre 20% e 30%.

A transação denota um interesse crescente pelo setor. Em meados de 2012, outra gestora de private equity, a Vinci Partners, comprou 70% da Cecrisa, outra grande empresa de cerâmica, por 250 milhões de reais. E a Duratex, a maior produtora de painéis de madeira industrializada e pisos, louças e metais sanitários do País, já disse que tem interesse em entrar em cerâmicas.

Fundada na década de 60 em Santa Catarina, a Eliane vende seus produtos em mais de 15 mil pontos de venda no Brasil, além de exportar para mais de 80 países.

Na Bolsa, os múltiplos do setor estão achatados, levando muita gente a se perguntar qual a vantagem de ganhar exposição ao setor via um investimento de private equity.

A principal concorrente da Eliane, a Portobello, tem um valor de mercado de 510 milhões de reais e negocia a 5,2 vezes o lucro estimado para 2016 e 4,5 vezes EV/EBITDA.

Em dezembro de 2011, a Portobello e a Eliane chegaram a anunciar uma fusão, mas desistiram do negócio em maio de 2012 quando não conseguiram superar divergências sobre o valuation de cada empresa.

No mês passado, os controladores da Portobello, que detêm 60% do capital da empresa, anunciaram uma oferta para comprar mais 15 milhões de ações a 3,93 reais.
