SPEC Selected as Successful Bidder on Regasification Terminal Process in Colombia

(Press Release) Americas Energy Fund II, LP (the “Fund”), a private equity fund managed by the Chilean company SCL Energia Activa S.A., is pleased to confirm that Sociedad Portuaria El Cayao SPEC S.A. ESP (“SPEC”), has been selected as the successful tenderer for the development and construction of a regasification terminal that will allow it to import liquefied natural gas (“LNG”) to the Atlantic Coast of Colombia.

The process was supervised by the Comisión de Regulación de Energía y Gas, and two offers were submitted, one by SPEC and other by Pacific Infrastructure.

The Fund has a 25% interest in SPEC. The other shareholders are Promigas S.A. ESP (50%), a Colombian company focused on the transportation and distribution of natural gas and TAM LNG Holdings (25%), a Colombian private equity fund. To date, SPEC has invested approximately US$15m, mainly related to the site acquisition and engineering and environmental studies.

According to the reference terms established in the process which was initiated in August, 2013, a Terminal Use Agreement should be executed within the next 60 days. This contract should be entered into between Grupo Térmico (Termobarranquilla, Termoflores and Termocandelaria) and SPEC. Construction of the terminal project will begin by the second half of this year.

About the Regasification Project (the “Project”)

The Project envisages the construction of a regasification terminal in Cartagena de Indias, Colombia to supply local power plants. The Project is comprised of two phases with a total estimated investment of US$500 million: the first phase (offshore), which is expected to be concluded by December 2015, will include the construction of the maritime facilities, such as a port, a pier and connecting pipelines and a FRSU with 170,000 M3 of storage and 400 MPCD of regasification capacities respectively. The expected investment for this first phase is US$ 150 million. The second phase (onshore) includes the construction of regasification, storage and liquefaction facilities. The expected investment for this second phase is US$ 350 million.

Comunicado de Prensa – SPEC es adjudicado para la construcción de un terminal de regasificación en Colombia.

La Sociedad Portuaria El Cayao SPEC S.A. ESP (“SPEC”), en la cual Americas Energy Fund II, LP (“AEF II”) participa en un 25% a través de su sociedad Baru Investment Ltd, fue adjudicado para la construcción de un terminal de gas natural licuado (GNL) en Cartagena de Indias, Colombia. El proceso de adjudicación fue supervisado por la Comisión de Regulación de Energía y Gas (CREG), donde también se recibió una oferta de la empresa Pacific Infrastructure.

Los otros socios de SPEC son Promigas S.A., sociedad colombiana dedicada principalmente al transporte y distribución de gas natural, con una participación de 50% y TAM LNG Holdings (un fondo local) con un 25%. La inversión total a la fecha realizada por el consorcio alcanza a US$ 15 millones asociados principalmente a la compra de terrenos y estudios de ingeniería y ambientales.

De acuerdo a lo estipulado en los términos de referencia establecidos en el proceso de contratación que fue iniciado en agosto de 2013, en los próximos
60 días se debe firmar el contrato de servicios (Terminal Use Agreement o
TUA) con las empresas generadoras agrupadas en el denominado Grupo Térmico, que incluye a las centrales Termoflores, Termobarranquilla y Termocandelaria. La construcción del terminal se iniciará a comienzos del segundo semestre del presente año.

Acerca del Proyecto de Terminal de Regasificación
El proyecto de regasificación consiste en la construcción de un terminal de regasificación en la zona de Cartagena de Indias, Colombia, que será desarrollado en dos fases, con una inversión total estimada de US$ 500 millones ; en la primera fase (off-shore), cuyo término está previsto para diciembre de 2015, se construirán las instalaciones marinas – puerto de atraque, muelle y gasoductos de conexión – para recibir una Unidad Flotante de Almacenamiento y Regasificación (FRSU) con capacidad de 170.000 M3 de almacenamiento y 400 MPCD de regasificación. La inversión esperada para esta primera fase es de US$ 150 millones.

En la segunda fase (on-shore) se contempla la construcción en tierra de la planta de proceso y el tanque de almacenamiento. La inversión esperada para esta segunda fase es US$ 350 millones.
